These Terms & Conditions (the “Terms”) govern your use of ifxhub.io (the “Site”), which is operated by Infraxio LLC (“Infraxio,” “we,” “us”), Ponte Vedra, Florida. By using the Site, you agree to these Terms. If you don't agree, please don't use the Site.

1. What These Terms Cover

These Terms apply to the Site, including its pages, guides, demos, forms, and the hub configurator. They do not govern the IFX Hub software itself. A client's use of its IFX Hub, including ownership of the software, hosting, support, and fees, is governed by a separate written agreement between that client and Infraxio. If that agreement conflicts with these Terms, the agreement controls.

2. Using the Site

You may use the Site to learn about IFX Hub and to contact us. When you do, you agree not to:

  • Use the Site in any way that violates applicable law or the rights of others.
  • Submit false information, impersonate someone else, or send spam through our forms.
  • Attempt to gain unauthorized access to the Site, its servers, or any connected system, or interfere with the Site's operation, for example by introducing malware or overloading it with automated requests.
  • Copy, scrape, or republish substantial parts of the Site for commercial purposes without our written permission.

You may quote and link to our guides with attribution to Infraxio and a link back to the original page.

3. Information You Submit

When you send us information through a form, the configurator, or email, you confirm that it is accurate and that you have the right to share it. We handle that information as described in our Privacy Policy. Submitting a form does not create a client relationship or obligate either party to enter into an agreement.

4. Informational Content Only

The Site's content, including our guides and FAQ, is provided for general information. It is not accounting, tax, legal, or financial advice. In particular, statements about capitalizing software or treating it as an asset are general descriptions of accounting concepts, and you should consult your own CPA or advisor about your circumstances.

Product descriptions, demos, and example screens illustrate what an IFX Hub can do. Every hub is scoped to a specific client, so the features, integrations, and timeline for any particular hub are set out in that client's agreement, not on the Site. Names and figures shown in demos are illustrative.

5. Intellectual Property

The Site and its content, including text, graphics, logos, demos, and code, are owned by Infraxio or its licensors and are protected by copyright, trademark, and other laws. “IFX Hub,” “Infraxio Hub,” “Infraxio,” and related names and logos are trademarks of Infraxio LLC. Other product and company names mentioned on the Site belong to their respective owners, and their mention does not imply endorsement.

These Terms don't transfer any ownership of the Site to you. Ownership of a client's IFX Hub software is addressed only in that client's agreement.

6. Feedback

If you send us ideas or suggestions about the Site or IFX Hub, you agree that we may use them without obligation to you.

7. Links to Other Websites

The Site may link to websites and services we don't operate, such as integration partners or reference material. We provide these links for convenience; we aren't responsible for their content, policies, or practices, and a link is not an endorsement.

8. No Warranty

The Site is provided “as is” and “as available.” To the fullest extent permitted by law, Infraxio disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We don't warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that its content is complete or current.

9. Limitation of Liability

To the fullest extent permitted by law, Infraxio and its members, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of, or inability to use, the Site, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or related to the Site will not exceed one hundred U.S. dollars (US$100).

Some jurisdictions don't allow certain of these exclusions or limits, so some of them may not apply to you.

10. Indemnification

You agree to indemnify and hold Infraxio harmless from claims, losses, and expenses, including reasonable attorneys' fees, arising from your misuse of the Site or your violation of these Terms.

11. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Site will be brought exclusively in the state or federal courts located in St. Johns County, Florida, or the federal district that includes it, and you consent to the personal jurisdiction of those courts.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Changes apply from that date forward, and your continued use of the Site means you accept them.

13. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy, are the entire agreement between you and Infraxio about the Site.
